The deal, in plain words.

These are our terms of sale and use, written in plain English. They form a binding contract between you and us.

1. Who we are

Kai MBA Consulting is a product of Kaigen Labs, Inc., a company incorporated in Delaware, United States. In these terms, “we”, “us” and “our” mean Kaigen Labs, Inc. “You” means the person using the site or holding a Season Pass. “Kai” means the founder whose admissions work the service is built on. “The clone” means the AI assistant trained on his material.

We run the website at kaimbaconsulting.com. You can reach us at kai@kaimbaconsulting.com. For anything about your personal data, write to kai@kaimbaconsulting.com.

2. Your agreement with us

By using the site, by chatting with the clone, or by buying a Season Pass, you agree to these terms. If you do not agree to them, do not use the service.

You must be at least 16 years old to use the service and at least 18 years old, or otherwise able to enter a contract where you live, to buy a Season Pass. The service is sold to individuals for their own use, not to organisations buying on behalf of others.

Our privacy policy explains what we do with your data. It forms part of this agreement.

3. What the Season Pass includes

The Season Pass is a one-time purchase of a digital service. Access starts as soon as your payment is confirmed. It is yours for life, and it includes:

  • Access to the clone, an AI trained on Kai’s admissions playbook, with an allowance of 1,000 messages.
  • All seven written chapters of the Playbook, and any updates we publish to them during your term, at no extra cost.
  • The downloadable templates offered with the pass.
  • A monthly live group question and answer session with Kai, held online.

The live sessions are group sessions, scheduled by us, and recorded attendance is not required. If a session cannot go ahead, we will hold it at another time in the same or the following month.

Anything not on that list is not included. One to one time with Kai and voice mock interviews are paid add-ons, covered in section 10.

4. The ten free turns

Anyone can send the clone ten messages before buying anything, with no account and no card. We offer the free turns so you can judge the service before you pay for it, which matters for the cancellation rules in section 9.

Free turns are protected by rate limits, a daily cap and a bot check. We may change, limit or withdraw the free turns at any time. Trying to reset, share or automate free turns to get more of them is a breach of section 16.

5. Price, currency and tax

The Season Pass costs $99 USD, charged once. Add-ons are priced separately and the price is shown before you buy.

Prices shown on the site may exclude tax. Stripe Tax works out whether VAT, GST or sales tax applies based on the country you are buying from, and adds it at checkout. The total you see at checkout before you confirm is the total you pay. If you are a business buying with a valid VAT number, you can enter it at checkout and the tax treatment will follow the rules of your country.

6. Payment and who you buy from

Payments are processed by Stripe. Kaigen Labs, Inc. is the seller and the merchant of record, so the charge on your statement comes from Kaigen Labs, not from Kai MBA Consulting. Your contract for the pass is with Kaigen Labs, Inc.

We never see or store your card number. Stripe holds the card details and sends us only the metadata we need to recognise your purchase, described in our privacy policy. You confirm that you are entitled to use the payment method you present. If a payment is reversed or charged back, we may suspend access while we look into it.

7. Your access, and what does not expire

Your access does not expire. There is no subscription, no automatic renewal and no second charge.

Your message allowance is the one limit that does run out. When it is spent, the Playbook stays open to you, and any unused message allowance expires. Files you downloaded during the term stay yours to keep and use under the licence in section 15. We may offer you a new term, and neither of us is obliged to take it up.

8. Message allowance and fair use

The pass includes 1,000 messages to the clone. One message means one message you send. Replies from the clone do not count against the allowance. The allowance is a one-off budget, does not roll over and has no cash value.

If you reach the allowance and you are using the service normally, write to us. We can extend it at our discretion.

Fair use

A pass is for one person. You agree that you will not:

  • share your login, or let anyone else use your pass.
  • use the service for anyone other than yourself, including running someone else’s application through it as if it were your own.
  • scrape, bulk download, copy or republish the Playbook, the templates or the clone’s replies.
  • query the clone automatically, in bulk, or through any interface other than the one we provide.
  • resell, rent or sublicense any part of the service.
  • use the service, its outputs or its materials to build, train or improve a competing product or model.
  • attempt to extract the clone’s instructions or reverse engineer any part of the service.

If fair use is broken

We may suspend or end your access. Where the problem is minor and can be put right, we will contact you first and give you a chance to fix it. Where the breach is serious or repeated, we may end your pass without a refund, as set out in section 20.

9. Cancellation and refunds

The fourteen day right to cancel, and why it does not survive first use

If you are a consumer in the UK or the EU, you normally have fourteen days to cancel a purchase made online and get your money back. Digital content and digital services supplied straight away are an exception to that rule.

When you buy the Season Pass, you ask us to start supplying the service immediately, and you acknowledge that once we have begun you lose the fourteen day right to cancel. You confirm this at checkout, and the pass becomes available to you at that moment. This is exactly why we give you ten free turns first: try the clone, read what the pass includes, and buy only if it is right for you.

When we refund anyway

If something is genuinely broken, if the service is not as we described it, or if we cannot give you what the pass promised within a reasonable time, write to kai@kaimbaconsulting.com and tell us what happened. We will fix it, or refund you in full or in part at our discretion. Refunds go back to the payment method you used, normally within fourteen days of us agreeing to them.

Your legal rights are not affected

Nothing in this section takes away your statutory rights. Under UK consumer law a digital service must match its description, be of satisfactory quality and be fit for purpose. If it is not, you are entitled to a repair, a replacement or a price reduction, whatever these terms say.

10. Add-ons and one to one time

Add-ons are sold separately from the pass and are not covered by the $99. Their price and what they include are shown at the point of purchase.

An hour with Kai, one to one

After you buy the hour you receive a scheduling link and pick a time. You can move or cancel a booked session with at least 24 hours notice, and we will find you another time. With less than 24 hours notice, or if you do not turn up, the session counts as delivered and is not refunded. If Kai has to move the session, you get a new time of your choosing or a full refund of that add-on. Unbooked hours expire twelve months after purchase.

Voice mock interviews

Voice mock interviews are in development. They are not part of the pass, and the terms for them will be shown when they go on sale.

Add-ons are personal to you and are not transferable.

11. No guarantee of admission

The service is guidance and information. It is not a promise of any outcome.

We do not guarantee that you will be admitted to any school, invited to interview, awarded a scholarship, or given a place of any kind. Nobody honest can. Admissions decisions are made by schools, on criteria they control, and we have no influence over them and no relationship with any admissions committee.

You decide what to submit, and you are responsible for what you submit. Any view we express about your chances is an opinion, not a prediction.

12. How the clone works, and its limits

The clone is software. It is a large language model, run for us on Kaigen Labs infrastructure and through OpenRouter, prompted with Kai’s admissions playbook and with whatever you send it. It is not Kai, and its replies are not read by a person before they reach you.

The clone can be wrong. It can be out of date. It can be confident and wrong at the same time. Deadlines, fees, essay questions, test policies, class profiles, scholarships and visa rules change often, and the clone may not know that they have. Check anything that matters against the school’s own website or admissions office before you act on it.

Replies are general guidance. They are not legal, financial, tax, immigration, medical or career advice, and using the service does not create a professional or advisory relationship between you and Kai or between you and us. If you need advice of that kind, take it from someone qualified to give it.

The models behind the clone are supplied by third parties and can change. Two answers to the same question may differ.

13. Academic integrity

The clone will not write your application, and it will decline if you ask it to. It is there to sharpen your own thinking and your own words.

You must not submit text written by the clone, or by any other AI, as your own work. Schools ask you to certify that your application is your own, and many of them say plainly that AI-written material breaches their rules. Being found out can cost you an offer, a place, or a degree already awarded.

We may suspend or end, without refund, any account used to breach a school’s rules, to produce applications for other people to pass off as their own, or to write material a person then certifies falsely as their own.

14. Your content

Your content means your resume, the files you upload, the messages you send the clone and anything else you put into the service. You keep ownership of all of it.

You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, display and process your content, and to pass it to the service providers listed in our privacy policy, for one purpose only: running the service for you. The licence lasts as long as we hold the content and ends when the content is deleted.

We do not use your content to train any model, ours or anyone else’s.

You confirm that you have the right to upload what you upload, and that it is not unlawful, and does not infringe anyone else’s rights. Do not upload other people’s personal data beyond what your own application needs.

15. Our intellectual property

The Playbook, the templates, the clone and its instructions, the site, its text, design and photography belong to Kaigen Labs, Inc. or are licensed to us. Buying a pass does not transfer any of that to you.

For the length of your term we give you a personal, non-exclusive, non-transferable, revocable licence to use the Playbook and the templates for your own applications, including adapting the templates into your own materials. You may print or save copies for yourself.

You may not:

  • republish, post, sell, rent or share the Playbook, the templates or the clone’s replies, in whole or in part.
  • remove any notice of ownership.
  • use any of it to train a model or to build a competing service.

Files you downloaded during your term stay yours to use personally after the term ends, under the same restrictions. The licence ends immediately if we end your pass for a serious breach of these terms.

16. Acceptable use

You agree not to:

  • use the service for anything unlawful, or to harass, abuse or harm anyone.
  • upload malware, or anything designed to interfere with the service.
  • probe, scan or test the security of the service, or try to get access to accounts, data or systems that are not yours.
  • get round or interfere with rate limits, usage caps, bot checks or payment.
  • misrepresent who you are, or impersonate anyone.
  • put the service to any use that breaches a school’s rules.
  • place an unreasonable load on the service, whether by volume, automation or otherwise.

17. Your account

Accounts are provided through Clerk. Keep your sign-in details to yourself. You are responsible for what happens under your account. If you think someone else has access to it, tell us at kai@kaimbaconsulting.com and we will help you secure it.

You can close your account at any time by writing to us. Closing your account ends your term and does not trigger a refund, unless section 9 applies.

18. Third party services

The service runs on top of other companies’ systems: Clerk for accounts, Convex for the database and file storage, Stripe for payments, Resend for email, Cloudflare for bot protection, Vercel for hosting, and Kaigen Labs infrastructure together with OpenRouter for the models behind the clone. Our privacy policy names them and says what each one handles.

If one of them has an outage, the service can be affected, and we are not liable for their failures beyond what section 21 allows. Where the site links to a school or any other third party site, we do not control it and are not responsible for what is on it.

19. Availability and changes to the service

We aim to keep the service running and available, and we do not promise that it will be uninterrupted or free of errors. We may take it down for maintenance, and we will keep planned downtime short and, where we can, outside peak hours.

We improve the service over time. We add, change and remove features, and we update the Playbook during your term, which is part of what you are paying for. If we remove something material that the pass promised you, we will tell you, and if the change makes your remaining term substantially less valuable we will offer you a fair refund of the unused part.

20. Suspension and termination

We may suspend or end your access if you breach these terms, in particular sections 8, 13 and 16, if we are required to by law, or if your use puts the service or other users at risk. For a serious breach we may end your pass immediately and without a refund. For anything less serious we will contact you first.

You may stop using the service at any time. If we end your pass for any reason other than your breach, we will refund the unused part of your term on a pro rata basis.

Sections that by their nature should survive the end of this agreement do survive it, including sections 14, 15, 21, 22, 25 and 27.

21. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law.

Subject to that, and to your statutory rights as a consumer:

  • we are not liable for indirect or consequential loss, or for loss you could not reasonably have expected when you bought the pass.
  • we are not liable for loss of profit, loss of business, loss of opportunity, loss of data, or the loss of a place, an offer or a scholarship.
  • we are not liable for the accuracy of anything the clone says, beyond our duty to supply the service with reasonable care and skill.
  • our total liability to you for all claims connected with the service is limited to the amount you paid us for the service.

The service is supplied for your personal use. If you use it for business purposes, we have no liability to you for any business loss.

22. Indemnity

If you use the service in breach of these terms or unlawfully, and that causes a claim against us by someone else, you agree to cover the reasonable costs, losses and legal fees that follow from it. We will tell you promptly about any such claim and will not settle it without talking to you first.

23. Not affiliated with any school

Kai MBA Consulting is an independent service. It is not affiliated with, endorsed by, or connected to INSEAD or any other school, and school names and logos are used only to say where Kai studied or was admitted.

24. Changes to these terms

We may update these terms, for example when we change the service, add a feature, or need to follow a change in the law. The date at the top shows when we last did.

If a change is material and you hold a live pass, we will tell you by email or by a notice on the site at least fourteen days before it takes effect, unless the law requires it sooner. If you do not accept a material change, write to us within thirty days of the notice and we will refund the unused part of your term. Continuing to use the service after a change takes effect means you accept it.

25. Governing law and where disputes are heard

These terms and any dispute arising from them are governed by the law of Delaware. The courts of Delaware have jurisdiction.

If you are a consumer living outside Delaware, you keep the benefit of any mandatory protections given to you by the law of the country you live in, and you may be able to bring proceedings in your local courts where that law gives you the right.

26. Complaints and your consumer rights

If something has gone wrong, email kai@kaimbaconsulting.com with the word Complaint in the subject line and tell us what happened. We will acknowledge it within five working days and aim to resolve it within thirty days.

You keep all of your rights under consumer law. In the UK, free and independent advice is available from Citizens Advice at citizensadvice.org.uk. If you live in the EU, your national European Consumer Centre can help with a cross-border purchase. We are not a member of an alternative dispute resolution scheme, and if we cannot settle a complaint between us you are free to take it to the courts as set out in section 25.

27. Other terms

If part of this is unenforceable

If a court finds any part of these terms unenforceable, that part is removed and the rest continues to apply.

The whole agreement

These terms, together with our privacy policy and the description of the pass on the site at the time you bought it, are the whole agreement between us. They replace anything said or written before. Nothing here limits your remedies for misrepresentation.

Delay is not a waiver

If we do not enforce a term straight away, we can still enforce it later.

Transfer

Your pass is personal to you and cannot be transferred. We may transfer our rights and obligations under these terms to another business, and if we do we will tell you and your rights will not be reduced.

Other people

This agreement is between you and us. Nobody else can enforce it under the Contracts (Rights of Third Parties) Act 1999.

Events outside our control

We are not liable for failing to do something we promised if the cause is outside our reasonable control, such as a failure of the internet, an outage at a provider we depend on, or a governmental measure. Where such an event lasts a long time, either of us may end the agreement and we will refund the unused part of your term.
